Terms of Service
Effective date: May 2, 2026
These Terms of Service ("Terms") govern your access to and use of the Luna platform, available at luna-money.com and related applications (collectively, the "Service"), operated by WORLDAI PTE LTD ("Luna," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
Please read these Terms carefully. They contain important information about your rights and obligations, including risk disclosures, limitations of liability, and dispute resolution provisions.
1. About the Service
Luna is a non-custodial decentralized finance ("DeFi") yield aggregation platform. The Service provides a user interface that helps you deposit USD Coin ("USDC") into curated yield-bearing vaults built on top of third-party protocols on the Arbitrum blockchain, including Aave, Morpho, Pendle Finance, and Ondo Finance.
Non-custodial means we never hold your funds. Your funds remain in smart contracts that you control via your wallet. We do not have access to, control of, or custody over your funds at any time. We cannot freeze, seize, transfer, or recover your funds on your behalf.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old, or the age of majority in your jurisdiction, whichever is greater
- Have the legal capacity to enter into a binding agreement
- Not be a resident of, or located in, any jurisdiction where the use of the Service is prohibited by applicable law (including but not limited to jurisdictions subject to comprehensive sanctions imposed by the United Nations, United States, European Union, United Kingdom, or Singapore)
- Not be listed on any sanctions list maintained by the United Nations, the U.S. Office of Foreign Assets Control (OFAC), the Monetary Authority of Singapore, or equivalent authorities
By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Account and Wallet
3.1 Account Creation
To use the Service, you must create an account using a valid email address through our authentication provider, Privy. Upon account creation, an embedded crypto wallet is generated for you on the Arbitrum blockchain.
3.2 Wallet Responsibility
Your wallet is secured by a cryptographic key controlled through Privy's authentication infrastructure. You are solely responsible for:
- Maintaining secure access to the email address associated with your account
- Safeguarding your authentication credentials
- All activity that occurs in connection with your account or wallet
3.3 Loss of Access
If you lose access to your authentication email, you may permanently lose access to your wallet and any funds in it. We strongly recommend that you use the wallet export feature in your account settings to back up your private key in a secure offline location. We cannot recover funds from a wallet whose access credentials have been lost.
3.4 Account Security
You agree to notify us immediately at support@luna-money.com if you become aware of any unauthorized access to your account. We are not liable for losses arising from unauthorized access caused by your failure to safeguard your credentials.
4. Use of the Service
4.1 Vault Deposits
The Service allows you to deposit USDC into vaults that route your funds to third-party DeFi protocols. When you deposit, you sign a transaction that:
- Approves the LunaRouter smart contract to spend a specified amount of your USDC
- Routes that USDC to the underlying protocol selected by the vault
- Mints a position token in your wallet representing your deposit
4.2 Yield
Yield generation depends entirely on the performance of the underlying third-party protocol. Yields are variable, not guaranteed, and may be zero or negative in certain market conditions.
4.3 Performance Fees
Luna charges a performance fee on yield generated. The current fee structure is displayed within the Service. Fees may be modified at our discretion, subject to a maximum cap encoded in the LunaRouter smart contract. Fees are not charged on principal — only on positive yield.
4.4 Withdrawals
You may withdraw your funds at any time, subject to:
- Sufficient gas (ETH on Arbitrum) in your wallet to cover transaction fees
- Sufficient liquidity in the underlying protocol to honor your withdrawal
- Smart contract availability (the LunaRouter contract is paused only in emergencies, and even when paused, withdrawals remain available)
4.5 Gas Fees
You are responsible for paying gas fees (ETH on Arbitrum) for all transactions, including deposits, withdrawals, and approvals. The Service does not subsidize gas costs.
5. Fiat On-Ramp and Off-Ramp
The Service may provide access to third-party fiat on-ramp and off-ramp providers (such as MoonPay) to facilitate the purchase of USDC with fiat currency or the sale of USDC for fiat currency.
These services are provided directly by the third-party provider, not by Luna. The provider's terms of service, fees, and KYC requirements apply to your use of these services. Luna does not facilitate the underlying fiat transaction and is not a party to it.
6. Risk Disclosures
You acknowledge and accept the following risks:
6.1 Smart Contract Risk
The Service interacts with smart contracts deployed on the Arbitrum blockchain, including the LunaRouter contract and the underlying contracts of Aave, Morpho, Pendle Finance, Ondo Finance, and others. Smart contracts may contain bugs, vulnerabilities, or design flaws that could result in partial or total loss of your funds. While we engage in security reviews, we cannot guarantee that any smart contract is free from defects or attacks.
6.2 Stablecoin Depeg Risk
USDC is a stablecoin issued by Circle Internet Financial that is intended to maintain a 1:1 peg to the U.S. dollar. However, stablecoins have historically experienced temporary or permanent loss of peg. If USDC loses its peg, the value of your deposits may decline.
6.3 Third-Party Protocol Risk
Funds deposited through the Service are routed to third-party DeFi protocols. These protocols may experience exploits, governance attacks, oracle failures, liquidity crises, or other adverse events. Luna has no control over and does not guarantee the security or solvency of any third-party protocol.
6.4 Regulatory Risk
The regulatory landscape for DeFi and cryptocurrency is rapidly evolving. Future regulations may restrict, prohibit, or impose new requirements on the Service or your use of it. Such changes may result in the suspension or termination of certain features, geographic restrictions, or other adverse effects.
6.5 Self-Custody Risk
Because Luna is non-custodial, you bear sole responsibility for the security of your wallet. Loss of authentication credentials, compromise of your email account, exposure of an exported private key, or interaction with malicious smart contracts may result in loss of funds. We cannot recover lost or stolen funds.
6.6 No Deposit Insurance
Funds held through the Service are NOT insured by the Singapore Deposit Insurance Corporation (SDIC), the U.S. Federal Deposit Insurance Corporation (FDIC), or any other governmental or private insurance scheme. If a smart contract fails, a third-party protocol is exploited, or funds are otherwise lost, no insurance scheme will reimburse you.
6.7 Market Risk
Cryptocurrency markets are volatile. The value of USDC, ETH (used for gas), and any other cryptocurrencies you hold may fluctuate. Yield rates on underlying protocols may decrease or become negative.
6.8 Operational Risk
The Service depends on third-party infrastructure (Privy, Vercel, RPC providers, blockchain networks) that may experience downtime, outages, or degraded performance. During such events, you may be unable to access the Service, deposit, or withdraw.
6.9 No Investment Advice
The Service does not provide investment, financial, tax, or legal advice. Information displayed in the Service (including yield rates, vault descriptions, and risk indicators) is provided for informational purposes only. You should consult with qualified professionals before making any financial decision.
7. Prohibited Uses
You agree not to use the Service to:
- Engage in any unlawful activity, including money laundering, terrorist financing, fraud, or evasion of sanctions
- Manipulate or attempt to manipulate the operation of the Service or any underlying protocol
- Reverse engineer, decompile, or attempt to extract source code from the Service except where permitted by law
- Use automated means (bots, scripts, scrapers) to access the Service in a manner that imposes unreasonable load on our infrastructure
- Impersonate another person or misrepresent your identity
- Transmit malware, viruses, or other malicious code
- Violate any applicable law or regulation in connection with your use of the Service
We reserve the right to suspend or terminate accounts that engage in prohibited uses, subject to your right to withdraw any funds that remain accessible to you.
8. Intellectual Property
8.1 Luna's Rights
The Service, including the Luna brand, trademarks, logos, user interface, and original content, is owned by WORLDAI PTE LTD and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.
8.2 Open Source Components
Certain components of the Service, including the LunaRouter smart contract, may be released as open source software under specified licenses. Such components are governed by their respective open source licenses.
8.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of information displayed in the Service
- Warranties regarding the security or solvency of third-party protocols
- Warranties regarding yield generation or financial returns
Your use of the Service is at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUNA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, goodwill, or other intangible losses
- Any losses arising from smart contract failures, third-party protocol exploits, or stablecoin depegging
- Any losses arising from unauthorized access to your account caused by your failure to safeguard credentials
- Any losses arising from your inability to access the Service due to third-party infrastructure failures
Our total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees you have paid to Luna in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Singapore dollars (SGD 100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Luna and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third party's rights
12. Termination
12.1 By You
You may stop using the Service at any time. To close your account, withdraw all funds and contact us at support@luna-money.com.
12.2 By Us
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- We reasonably believe you have violated these Terms
- We are required to do so by applicable law
- We discontinue the Service in your jurisdiction
Even after termination, you will retain access to any funds in your wallet. Because Luna is non-custodial, termination of your account does not affect your ability to interact directly with the underlying smart contracts using your wallet credentials.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
13.2 Arbitration
Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of SIAC in force at the time of the commencement of the arbitration.
The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.
13.3 No Class Actions
You agree that any dispute resolution proceedings will be conducted only on an individual basis, and not in a class, consolidated, or representative action.
13.4 Injunctive Relief
Notwithstanding Section 13.2, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in Singapore to prevent unauthorized use, infringement of intellectual property rights, or breach of confidentiality.
14. Modifications to These Terms
We may modify these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service before the changes take effect. The "Effective date" at the top of these Terms reflects the most recent revision.
Continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to revised Terms, you must stop using the Service.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Luna regarding the Service and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
15.5 Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government actions, network failures, or smart contract exploits affecting third-party protocols.
15.6 Headings
Section headings are for convenience only and do not affect interpretation.
